Terms of Service

Please read these Terms of Service (“Terms”) carefully before using the Quotely platform. These Terms form a binding legal agreement between you (“you” or “Subscriber”) and Insightly Consulting Limited (“Quotely”, “we”, “us”, or “our”), the operator of the Quotely quoting software available at quotely.nz.

By creating an account or using the platform, you agree to be bound by these Terms. If you are accepting on behalf of a business, you represent that you have the authority to bind that business to these Terms.

1. The service

Quotely is a cloud-based quoting platform designed for New Zealand trade businesses (including but not limited to electricians, plumbers, builders, gasfitters, drain layers, and painters). The platform enables users to create, send, and manage professional quotes for their customers, and includes AI-assisted quote generation, PDF output, customer approval workflows, and team management features.

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time. Where we make material changes we will provide reasonable notice.

2. Account registration

To use Quotely you must:

  • Be at least 18 years of age
  • Be operating a lawful business in New Zealand
  • Provide accurate and complete registration information, including a valid email address and business details
  • Maintain the security of your account credentials and not share them with unauthorised persons

You are responsible for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at hello@quotely.nz.

3. Free trial

New accounts receive a free trial that includes up to 10 quotes. No credit card is required to start a trial. At the end of the trial period, or when your trial quote limit is reached, you must subscribe to a paid plan to continue using the platform. Trial data is retained for 30 days after the trial ends, after which it may be deleted.

4. Onboarding fee

Quotely offers an optional paid onboarding session where we configure your account with your business rates, materials, and branding during a live call. The onboarding fee is charged separately from your subscription and is non-refundable. The fee covers our time and expertise, not ongoing access to the software. Cancelling your subscription after onboarding does not entitle you to a refund of the onboarding fee.

5. Subscription plans and pricing

Paid plans are available on a monthly subscription basis. Current pricing is published at quotely.nz/pricing. All prices are in New Zealand Dollars (NZD) and are exclusive of GST. GST at the current rate is added at checkout. We are GST registered and issue tax invoices for all payments.

Your subscription renews automatically on the same date each month. By subscribing, you authorise us to charge your nominated payment method on each renewal date.

We reserve the right to change subscription pricing with at least 30 days' written notice to your registered email address. Price changes take effect at your next renewal date following the notice period.

6. Payment and billing

Payments are processed by Stripe. We do not store your full card details. You must ensure your payment method remains valid and up to date. If a payment fails, we may suspend access to your account until the outstanding amount is settled. Persistent non-payment may result in account termination.

We do not offer refunds for partial months or unused features. If you cancel, your access continues until the end of the current billing period.

7. Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period and you will not be charged again. Your access to the platform continues until the billing period ends.

Upon cancellation, your quote history remains accessible for 90 days. We recommend exporting any records you need before cancelling. After 90 days, your data may be permanently deleted.

8. Acceptable use

You agree to use Quotely only for lawful purposes and in accordance with these Terms. You must not:

  • Use the platform to send quotes or communications that are false, misleading, or deceptive in breach of the Fair Trading Act 1986
  • Upload, store, or transmit any content that is unlawful, defamatory, offensive, or infringes any third-party intellectual property rights
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Use automated tools to scrape, extract, or download data from the platform without our written consent
  • Resell, sublicense, or otherwise commercialise access to the platform without our written consent
  • Use the platform in a way that could damage, disable, overburden, or impair it
  • Misrepresent your identity or business affiliation

We reserve the right to suspend or terminate any account that we reasonably believe is in breach of these Terms, without notice where necessary to protect the platform or other users.

9. Your content

You retain ownership of all content you upload or create on the platform, including your business information, logo, rates, materials, and quote content (“Your Content”). By using Quotely you grant us a limited, non-exclusive licence to store, process, and transmit Your Content solely to provide the service to you.

You warrant that Your Content does not infringe any third-party rights and that you have all necessary permissions to provide your customers' personal information to us for the purposes of generating and delivering quotes.

We do not use Your Content or your customers' information to train AI models.

10. AI-generated content

Quotely uses AI to assist in generating quote descriptions and estimates based on information you provide. AI-generated content is provided as a starting point only. You are solely responsible for reviewing, editing, and approving all quote content before sending it to your customers. We make no warranty that AI-generated content is accurate, complete, or fit for any particular purpose. Quotes sent to your customers are your responsibility.

11. Intellectual property

All intellectual property in the Quotely platform, including its software, design, branding, and documentation, is owned by or licensed to Insightly Consulting Limited. These Terms do not grant you any rights in our intellectual property other than the limited licence to use the platform in accordance with these Terms.

The “Quotely” name and logo are trademarks of Insightly Consulting Limited. You must not use our trademarks without our prior written consent.

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. By using Quotely, you also agree to the Privacy Policy.

13. Warranties and disclaimers

We will use reasonable care and skill in providing the Quotely platform. However, to the maximum extent permitted by law:

  • The platform is provided “as is” and we make no warranty that it will be uninterrupted, error-free, or free from viruses or other harmful components
  • We do not warrant that AI-generated quotes or estimates are accurate or fit for any particular purpose
  • Quotes generated using the platform are your professional output — we are not responsible for the accuracy, completeness, or commercial outcome of any quote you send to a customer

Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 to the extent those Acts apply to your use of the service.

14. Limitation of liability

To the maximum extent permitted by applicable law, Insightly Consulting Limited's total liability to you for any claims arising out of or in connection with these Terms or your use of Quotely will not exceed the total subscription fees paid by you in the 12 months immediately preceding the event giving rise to the claim.

We will not be liable for any indirect, consequential, incidental, special, or punitive losses or damages, including loss of profits, loss of business, or loss of data, whether arising in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such losses.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

If you are a consumer under the Consumer Guarantees Act 1993, nothing in this clause limits the guarantees and remedies available to you under that Act.

15. Indemnity

You agree to indemnify and hold harmless Insightly Consulting Limited, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the platform in breach of these Terms; (b) Your Content; (c) your quotes or representations made to your customers; or (d) your breach of any applicable law, including the Fair Trading Act 1986 or Consumer Guarantees Act 1993.

16. Third-party services

The Quotely platform integrates with third-party services including Stripe (payments), Twilio (SMS), Resend (email), and Anthropic (AI). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

17. Suspension and termination

We may suspend or terminate your account immediately and without notice if:

  • You breach any material term of these Terms
  • We reasonably suspect fraudulent or illegal activity on your account
  • Continued access poses a risk to the platform or other users
  • You fail to pay any amount due under your subscription

Upon termination by us for breach, you will not be entitled to a refund of any prepaid subscription fees. If we terminate your account without cause (other than during a free trial), we will provide a pro-rata refund of any prepaid fees for the unused portion of your subscription.

You may terminate your account at any time in accordance with clause 7.

18. Force majeure

We will not be in breach of these Terms, or liable to you, for any delay or failure to perform our obligations arising from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, internet outages, power failures, or actions of third-party service providers.

19. Governing law and disputes

These Terms are governed by the laws of New Zealand. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the New Zealand courts, unless resolved by agreement between the parties.

We encourage you to contact us at hello@quotely.nz in the first instance so that we may attempt to resolve any dispute informally before either party initiates formal proceedings.

20. Changes to these Terms

We may update these Terms from time to time to reflect changes in the law, our business, or the platform. We will notify you of material changes by email or by a notice within the platform at least 14 days before the changes take effect. Your continued use of Quotely after the effective date of changes constitutes your acceptance of the updated Terms.

The current version of these Terms is always available at quotely.nz/terms.

21. General

  • Entire agreement. These Terms, together with the Privacy Policy and any order documentation, constitute the entire agreement between you and us regarding the subject matter herein and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • No waiver. A failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it at a later time.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a sale or merger of our business.
